1. General Terms
The following Terms and Conditions (T&C), incorporate by reference other provisions, applicable to the use of www.wonupshop.com, including, but not limited to supplemental terms and conditions set forth hereof ("Supplemental Terms") governing the use of certain specific material contained on www.wonupshop.com. These Terms apply exclusively to the business relationship between WonupShop Inc. and its internet platform www.wonupshop.com ("the Website'', ''our ", ''us'', "we") and the User. By using the Website, the User (''You'', ''Your'', "Participant'') accepts the following General Terms and Conditions, as well as the manner in which the Website and its features (i.e. Reserve, "Buy it Now ") operate as described on the Website.
By using www.Wonupshop.com (other than to read these terms for the first time), the User agrees to comply with all of the Terms and Conditions hereof. The right to use www.wonupshop.com is personal to the User and is not transferable to any other person or entity. WonupShop does not recognize any terms and conditions set by the User that differ from these unless WonupShop has agreed to their validity in writing.
The most current version of the T&C can be reviewed by clicking on the "Terms and Conditions" hypertext link located at the bottom of our Web pages.We recommend the User to watch their practices and activities on site. Reserving seats frequently or repeatedly can result in high costs. The User should therefore pay attention to their use of ''Coins'' and check their charges regularly.
2. Consent of Terms and Conditions
By using our Website and clicking ''I accept'', You are agreeing and are bound to the following terms. Please read our Terms carefully and if You do not agree with them, you should not use www.wonupshop.com. If You access, use, or download in any way any service from WonupShop, You acknowledge that You have had the opportunity to review the video regarding the use of WonupShop, You have either reviewed the "Free Trial" section or have chosen not to do so, and You have had the opportunity to inquire on the use of www.wonupshop.com by e-mail and to have those questions answered, and have either opted to do so or not to do so.
Any special promotions presented by www.wonupshop.com shall only be valid if they are announced on our Website or by newsletter. Upon expiration of the time limit stated the promotion is deemed to have ended.
3. Changes to Terms & Conditions
WonupShop reserves the right to update the T&C at any time without notice to the User and has the right and/or discontinue any aspect or features of www.wonupshop.com, including, but not limited to, content, hours of availability, and equipment needed for access or use. Should this occur, You agree that WonupShop may provide You notice of such changes in any one or more of the following ways: via an e-mail, newsletters and/or by posting a change notice on the Website for a reasonably limited period of time. It is Your responsibility to review any revised T&C prior to using our Website.
4. Eligibility & Registration
To use www.wonupshop.com, You must reside in one of the provinces/territories of Canada or be a resident of the United States.You must be at least 18 years of age and at least the age of majority under the applicable laws of the country, province, territory, or city of Your residence, and that You can engage in a binding contract and meet all other eligibility requirements contained in these T&C. WonupShop's policy is to conduct the sales in a fair and impartial manner, therefore employees with an ''Admin'' account of WonupShop are not eligible to participate in the Website under any circumstances.
Only one account per person is allowed. Creating multiple accounts is a violation of our site rules. Also, you’re not allowed to use the same credit card or PayPal of another user; Teamwork is good but please keep payment methods separate.
During the registration process, the User must choose a username. The username chosen must not offend standards of common decency or infringe upon the rights of third parties. Additionally, the use of misleading usernames is strictly prohibited. WonupShop reserves the right to change or delete a username if it finds the User violating WonupShop's T&C. Keep your account information safe and secure. For You are responsible for the activity(ties) that occurs on your account.
A) The User has to provide a valid e-mail address during the registration process for WonupShop to authenticate the User and prevent future misuse of the service. A confirmation link is sent to the email address, which the User must use to register.
B) In general, the User shall be liable for all activities that are undertaken using the User's account together with the associated password. User's accounts created during registration are non-transferable. Any abuse of the User account will result in the disqualification of the User and may lead to criminal proceedings. WonupShop may at any time, at its sole discretion suspend or permanently exclude users from its services. WonupShop will decide upon such exclusion if and insofar as, in the reasonable opinion of WonupShop, a user has breached a WonupShop provision, violated any laws or infringed upon the rights of third parties. WonupShop has another justified interest in such for the protection of other Users or to prevent manipulation of any kind, for instance several user accounts are set up by the same User.
C) Furthermore, WonupShop reserves the right in its absolute discretion to restrict the number of products, seats in which a User may participate or may win. Number of Free Coins offered by WonupShop is at the sole discretion of the company (including testimonial, Extra coins or otherwise).
D) WonupShop has the right to disqualify a user and/or his winnings if it deems that a particular user or users have used unfair means to win a Product. WonupShop shall neither be liable to return any Coins, purchased or non-purchased, nor is WonupShop liable to reimburse any monies that have been used to purchase Coins or products. This is to protect the right of its users and WonupShop itself. You will not hold WonupShop responsible for any loss you may incur as a result of WonupShop taking any of the actions outlined above.
G) If you choose not to register or provide personal information, you can still view our site www.wonupshop.com, but you can not participate in reserving seats. If you choose to register, you will receive our electronic newsletter. If you do not want us to contact You by email, postal mail or telephone about the promotional offers, you can send us an e-mail at info@wonupshop.com. or unsubscribe from any promotional emails.
5. Purchase of Coins and Payment
The user must first purchase "Coins" to reserve a seat on a Product. Coins can be purchased in packages at the prices set at the time of purchase. Details can be found at www.wonupshop.com/packages. Becoming a Member have privileges. Unused Coins are not refundable.
Payment can be made by credit card or via PayPal. Should a payment not be honored by a User, a returned payment fee will be charged to the User. Certain Coins (e.g. some "Free Coins") are valid only for a limited time. Upon expiration of the time stated, the coins expire and no refund is available.
6. How to Reserve Seats
When a product is displayed users can see its retail price and winner’s price (Which is the price the winner pays once the product is sold). By clicking the image of the product from ‘’home page’’, the user will be brought in the ''Product Dispay Page’’ where he can access the ‘’Reserve Button’’ , the product ‘’Description’, ‘’Buy it now’’ feature and other features. The Participant can Reserve a seat or 10% of the total value of seats; by reserving seat(s) on the product The user can potentially win the best price. All seats have to be reserved before the winning seat appears. The winning seat appears in a numeric value and showing the username behind the seat. All participants receive a notification via email about the sold product, only the Winner receives a ‘’Congratulations message’’. The winner pays the Price indicated as ‘’Winner’s Price’’, others can purchase the item as indicated in the ‘’Buy it now’’ section. The price displayed on the ‘’Buy it now’’ can vary from one participant to another, for instance a member can have discount and shipping free, while a non-members may not.
Another variation that can affect the ‘’Buy it now’’ is the the ability to reserve more seats than other participants, Coins, Extra Coins, Free coins have a monetary value. A coin is worth 50 cent.
New products are placed every 24 hours, therefore as soon as a product is sold, the very same product appears once the user refresh the page.
7. Acceptance of the Win and Payment
After a product is sold, You must actively confirm and pay the total price for the won product. Once You have clicked on the confirmation button the win is accepted. If a sold product has not been confirmed and paid within seven (7) days of the end date, We may withdraw the offer to conclude the order and permanently revoke the winner's right to pay for and receive delivery of an item. If WonupShop does this, all coins used to reserve seats will be deemed used and nonrefundable. After confirming the win and paying the total amount due, the winner will receive a confirmation e-mail. The item will not be sent to You until the total price has been paid to WonupShop. Once it has been paid, delivery will be sent by ''us'' WonupShop or a third party working with WonupShop.
8. Cancellations/Returns
Winners of a product have the right to return an order in accordance with WonupShop 's Returns Policy and be entitled to a refund of the final price paid even if the goods are defective in any way. This policy is subject to change without notice. If You wish to return an order, You must inform us within the allowed time period by e-mail (info@wonupshop.com) that You want to cancel your order. Coins placed on the seat are not eligible for a refund. These return rights end 7 days after the day the winner received the goods or a notification that the goods are ready for collection.
Some exceptions may apply. If an exception does apply, the support team is always available to serve you. If You are found to be in bad standing due to fraudulent behaviour, excessive refund requests, or other types of behaviors, You are deemed to be in breach of these Terms & Conditions and will not qualify for a refund.
In order to complete a return, You must return the received product in its condition packed in its package. Shipping expenses for returns will be paid by You and refunded by us after observation and evidence of the defect product by WonupShop or supplier. WonupShop will not accept a return if You are unable to return the product received or are only able to return it in part or in a damaged or used condition.
9. Deliveries/Returns
You agree that the item delivered shall remain WonupShop's property until WonupShop receives payment in full, including coins used in the Products. Deliveries are made exclusively to the provinces and territories of Canada and the United States. Unless otherwise stated, delivery will be made directly from our supplier or from our warehouse to the address provided by You.
Delivery times vary and any delivery time indicated should be taken as a guide and is not guaranteed. WonupShop shall be entitled to engage third parties to satisfy its contractual obligations without being required to notify the buyer. Obvious damage to the item or packaging during transport shall be reported to WonupShop by the winner upon delivery. Should WonupShop not be able to deliver the item ordered, WonupShop shall promptly notify the winner if it can deliver a comparable substitute product that has the same or better features. The winner shall then notify WonupShop if they wish to receive this substitute or prefer to receive a refund of the Final price.
10. Defects and Compensation
If there is a defect in the product received and the winner wishes nevertheless to retain the product and receive compensation from WonupShop for the reduction in value due to the defect, the winner must provide WonupShop with sufficient evidence of the defect and the reduction in value. Likewise, minor defects will occasion a minor compensation to the winner by WonupShop. The winner must make such claim within five (7) days.
11. Disclaimer of Warranty and Limitation of Liability regarding the Use of the Website
The User expressly agrees that use of the Website is at the User's own risk. Neither WonupShop, its affiliates nor any of their respective employees, agents, third party content providers or licencors warrant that the Website will be uninterrupted or free of errors; nor do they make any warranty as to the results that may be obtained from use of the Website, or as to the accuracy, reliability or content of any information, service, or merchandise provided through the Website.
The Website is provided on an "as is" basis. To the maximum extent permitted by law, WonupShop disclaims all representations and warranties, express or implied, with respect to any information, services, products and materials, including, but not limited to, warranties of merchantability or fitness for a particular purpose, title, non-infringement, freedom from computer virus and implied warranties arising from course of dealing or course of performance. In addition, WonupShop does not represent or warrant that the information accessible via the Website is accurate, complete or current. We are not responsible for typographical errors.
This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, server failure, theft or destruction or unauthorized access to, alteration of, or use of record, whether for breach of contract, wrongful behavior, negligence, or under any other cause of action. User specifically acknowledges that WonupShop is not liable for the defamatory, offensive or illegal conduct of other users or third parties and that the risk of injury from the foregoing rests entirely with user.
In no event will WonupShop , or any person or entity involved in use of coins for a product, be liable for any damages, including, without limitation, direct, indirect, incidental, special, consequential or punitive damages arising out of the use of or inability to use the Website. The User hereby acknowledges that the provisions of this section shall apply to all content on the Website.
In addition to the terms set forth above, neither WonupShop nor its affiliates, information providers or content partners shall be liable regardless of the cause or duration, for any errors, inaccuracies, omissions, or other defects in, or untimeliness or unauthenticity of, the information contained in the Website, or for any delay or interruption in the transmission thereof to the user, or for any claims or losses arising therefrom or occasioned thereby. None of the foregoing parties shall be liable for any third-party claims or losses of any nature, including, but not limited to, lost profits, punitive or consequential damages. Neither WonupShop, its affiliates, information providers nor content partners warrant or guarantee the timeliness, sequence, accuracy or completeness of this information. 12. Disclaimer of Warranty and Limitation of Liability regarding Purchases from the Website.
All new products are sold with the manufacturer's limited warranty only. WonupShop warrants solely that the products sold to You under these terms shall have the characteristics specified in WonupShop 's specifications for such products, as set forth in the description of each Product, and assumes no further warranties and conditions. The warranty period and service varies by manufacturer and product. The full text of any such warranty is available, free of charge, upon written request to WonupShop. Warranty is excluded for the delivery of any used products.
EXCEPT FOR THE WARRANTIES AND CONDITIONS SET FORTH ABOVE, WONUPSHOP MAKES NO OTHER WARRANTIES OR CONDITIONS, EITHER EXPRESS, IMPLIED, OR COLLATERAL, WITH RESPECT TO THE PRODUCTS, OR ANY RELATED SERVICES PERFORMED BY WONUPSHOP OR ANY OF ITS AGENTS OR SUBCONTRACTORS IN CONNECTION WITH ANY ORDER, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR OR GENERAL PURPOSE.
YOU AGREE THAT WONUPSHOP SHALL NOT BE LIABLE FOR PERSONAL INJURY AND PROPERTY DAMAGE RESULTING FROM THE USE, IMPROPER HANDLING, MODIFICATION, OR MISUSE OF THE PRODUCTS BY YOU OR ANY OTHER PERSON FOLLOWING DELIVERY BY WONUPSHOP. IN NO EVENT SHALL WONUPSHOP BE LIABLE TO YOU OR ANY OTHER PERSON FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS OR GOODWILL, LOSS-OF-USE DAMAGES OR ADDITIONAL EXPENSES INCURRED, WHETHER PURSUANT TO A CLAIM IN CONTRACT, TORT OR OTHERWISE, AND WHETHER IN AN ACTION FOR BREACH OF WARRANTY OR CONDITION OR OTHERWISE.
13. System Disruption
With the current technology, it is not possible to develop and operate computer programs and data processing systems without errors, or to rule out any unforeseen events in connection with the internet. WonupShop, therefore, provides no guarantee of the uninterrupted availability of its Website and technical systems.
In an event of a system disruption, the website shall indicate that the site or mechanism has been temporarily halted. After the disruption has been resolved, WonupShop will refund "Coins" used in the product and The product will be displayed later the same day or the next. WonupShop does not provide any technical support for hardware or software failure of the User. WonupShop shall not be responsible for any damages or losses as a result of any malfunctions or problems in equipment and/or software without any fault of www.wonupshop.com
14. Claims
WonupShop shall make every effort to bring disputes that may arise to a fair and reasonable conclusion. WonupShop expects the same from its users. If a User does not make an attempt to resolve a dispute before initiating a claim procedure, their account will be deactivated immediately. Any rights not expressly granted herein are reserved.
